Version Upgrades

When a customer buys a new major version of a Bytes of Learning title to replace an older major version, we call this a Version Upgrade. Replacing UltraKey version 5.0.3 with UltraKey 5.0.5 is considered an update, not an upgrade. Replacing UltraKey 4.0 with UltraKey 5.0 is a Version Upgrade.
 
At this time, Version Upgrade Credits are only available for UltraKey permanent multi-station licenses. The following table will be modified when a major new version is released for any other titles.

60 Day Grace Period:

The customer qualifies for the Version Upgrade Credit for any particular time period as long as the customer initiated the purchasing process prior to that time period expiring and the customer actually purchases the upgrade within 60 days of the end of the qualifying period. The customer must provide a copy of the internal purchase requisition or a letter or email confirming that the purchasing process was initiated prior to the expiration.
 

Always Protected:

We set Version Upgrade Credits at the time we release new versions. It is our policy to offer every customer who purchases less than 6 months before a new release, a 100% credit of whatever the customer has paid (or the price of the new version, whichever is less). Equally generous offers are made for other customers who may have purchased recently. This way, no customer ever has to worry about losing out by buying our software prior to a new version release.
 

Other guidelines:

The net price for any Version Upgrade is a minimum of $25.
 
Upgrade credits are available through resellers at the same amounts as are available through Bytes of Learning.
 

Credits only apply for installations that are being replaced and upgraded. 

If the new license has a smaller scope than the original license, the credit is calculated in proportion to the new license scope. For example, a customer who replaces a site license with a 30-station license would get 50% of the applicable credit. 

If a customer has previously upgraded, and is now upgrading again, the current upgrade credit is calculated on the actual amount paid last time after credits were deducted. 

If proof of purchase or a record of the old license is not available, a letter from the principal or other authority attesting to the former purchase suffices. The value of the credit will be calculated on the price published at the time the former software license was purchased. 

A Version Upgrade Credit may never exceed the price paid for the original software (after any Version Upgrade Credits were applied). 

A Version Upgrade Credit may never exceed the value of the new software license. 

Shipping and handling charges are payable by the customer separately in all cases 

Where a District is upgrading and it is impractical to calculate the upgrade credits due to multiple purchases and other complicating factors, Bytes of Learning may provide a simplified Version Upgrade Credit based on a reasonable estimation of the purchases the District has made.
